  1. ACCEPTANCE OF TERMS

    DormPosts.com is owned by Silly Robot LLC and provides an online marketplace for college students to buy, sell, and trade goods and services (referred to hereafter as "the Service") subject to the following Terms ("Terms"). By using the Service in any way, you agree to comply with these Terms. In addition, when using particular DormPosts services, you agree to abide by any applicable posted guidelines, which may change from time to time. Should you object to any term or condition of these Terms, any guidelines, or any subsequent modifications thereto or become dissatisfied with DormPosts in any way, your only recourse is to immediately discontinue use of DormPosts.

  2. MODIFICATIONS TO THIS AGREEMENT

    DormPosts reserves the right, at its sole discretion, to change, modify or otherwise alter these Terms at any time. Such modifications shall become effective immediately upon posting. You must review this agreement on a regular basis to keep yourself apprised of any changes. You can find the most recent version of these Terms at: dormposts.com/terms

  3. USER ACCOUNTS

    1. Eligibility: To create an account and use the Service, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater.
    2. Registration Requirements: You must provide a valid .edu email address to register for an account. This requirement is to ensure that the Service is used exclusively by college students and affiliated individuals.
    3. Account Security: You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account or password.
    4. Account Termination: DormPosts reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

  4. COMMUNITY STANDARDS

    1. User Conduct: Users of the Service agree to conduct themselves in a manner conducive to a positive and respectful campus community. This includes, but is not limited to:

      1. Treating all users with respect and courtesy.
      2. Refraining from harassment, threats, or intimidation.
      3. Abstaining from hate speech or discrimination based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or any other protected characteristic.
      4. Engaging in honest and ethical transactions.

    2. Prohibited Conduct: Users are expressly prohibited from:

      1. Engaging in any fraudulent or deceptive practices.
      2. Attempting to circumvent any security features of the Service.
      3. Violating any applicable local, state, national, or international law or regulation.
      4. Interfering with or disrupting the integrity or performance of the Service or related systems.
    3. Enforcement: DormPosts reserves the right to investigate and take appropriate legal action against anyone who, in DormPosts' sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

  5. CONTENT

    1. Responsibility: You understand that all listings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated.
    2. No Endorsement: DormPosts does not control and is not responsible for Content made available through the Service. DormPosts does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Service.
    3. Risk: You understand that by using the Service, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate. Under no circumstances will DormPosts be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Service.

  6. PROHIBITED ITEMS AND SERVICES

    Users are prohibited from posting Content or attempting to buy or sell through the Service any of the following items or services:

    1. Illegal goods or services
    2. Alcoholic beverages, tobacco products, or controlled substances
    3. Weapons, explosives, or related items
    4. Counterfeit or stolen goods
    5. Adult content or services
    6. Any items or services that violate applicable school policies
    7. Any items or services that infringe upon the rights of third parties

    DormPosts reserves the right to remove any listing that, in its sole discretion, violates these prohibitions or is otherwise inappropriate for the Service.

  7. INTELLECTUAL PROPERTY RIGHTS

    1. DormPosts' Intellectual Property: The Service and its original content, features, and functionality are and will remain the exclusive property of DormPosts and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of DormPosts.
    2. User Content: By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute such Content in any and all media or distribution methods (now known or later developed).

    3. Copyright Policy: DormPosts respects the intellectual property rights of others and expects users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your Content has been copied in a way that constitutes copyright infringement, please provide us with the following information:

      1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
      2. Identification of the copyrighted work claimed to have been infringed;
      3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
      4. Your contact information, including your address, telephone number, and an email address;
      5. A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
      6. A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

      We reserve the right to remove Content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, we will also terminate a user's account if the user is determined to be a repeat infringer.

  8. PRIVACY

    Use of the DormPosts Service is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. By accepting these Terms, you agree to indemnify and otherwise hold harmless DormPosts, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from your use of the Service, unauthorized access to or alteration of your transmissions or data, statements or conduct of any third party on the Service, or any other matter relating to the Service.   9. DISCLAIMER OF WARRANTIES

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

    1. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DORMPOSTS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
    2. DORMPOSTS MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
    3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
    4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM DORMPOSTS OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

  10. LIMITATION OF LIABILITY

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT DORMPOSTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF DORMPOSTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

  11. EXCLUSIONS AND LIMITATIONS

    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

  12. SPECIAL ADMONITION FOR SERVICES RELATING TO FINANCIAL MATTERS

    If you intend to create or join any service, receive or request any news, messages, alerts or other information from the Service concerning companies, stock quotes, investments or securities, please read the above Sections 9 and 10 again. They go doubly for you. In addition, for this type of information particularly, the phrase "Let the investor beware" is apt. The Service is provided for informational purposes only, and no Content included in the Service is intended for trading or investing purposes. DormPosts and its licensors shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the Service, and shall not be responsible or liable for any trading or investment decisions based on such information.

  13. JOB POSTS

    1. Job Listings: Users may post listings for campus jobs, internships, or full-time or part-time off-campus employment opportunities ("Job Posts") on the Service.
    2. Compliance: All Job Posts must comply with applicable labor laws, regulations, and the policies of the relevant educational institution. Users are solely responsible for ensuring such compliance.
    3. Fees: Basic Job Posts are provided free of charge. Premium Job Posts, which offer enhanced visibility and features, are subject to a weekly fee.
    4. Recurring Billing: Premium Job Posts are billed on a recurring weekly basis until cancelled by the user. Users may cancel recurring billing at any time by contacting us at info@thesillyrobot.com.
    5. No Refunds: DormPosts does not offer refunds for partial weeks of Premium Job Posts.
    6. Accuracy: Users posting Job Posts are responsible for providing accurate and complete information about the job opportunity, including but not limited to job requirements, hours, and compensation.
    7. Right to Remove: DormPosts reserves the right to remove any Job Post that, in its sole discretion, violates these Terms or is otherwise inappropriate for the Service.

  14. INDEMNIFICATION

    You agree to defend, indemnify and hold harmless DormPosts, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

    1. your use of and access to the Service;
    2. your violation of any term of these Terms;
    3. your violation of any third party right, including without limitation any copyright, property, or privacy right;
    4. any claim that your Content caused damage to a third party; or
    5. any transaction or interaction with other users of the Service.

    This defense and indemnification obligation will survive these Terms and your use of the Service.

  15. GENERAL INFORMATION

    1. Entire Agreement: These Terms constitute the entire agreement between you and DormPosts and govern your use of the Service, superseding any prior agreements between you and DormPosts (including, but not limited to, any prior versions of the Terms).
    2. Choice of Law and Forum: The Terms and the relationship between you and DormPosts shall be governed by the laws of the State of Wyoming without regard to its conflict of law provisions. You and DormPosts agree to submit to the personal and exclusive jurisdiction of the courts located within Sheridan County, Wyoming.
    3. Waiver and Severability of Terms: The failure of DormPosts to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
    4. Statute of Limitations: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
    5. Section Titles: The section titles in the Terms are for convenience only and have no legal or contractual effect.

    By using the DormPosts Service, you acknowledge that you have read these Terms, understood them, and agree to be bound by them. If you do not agree to these Terms, you are not authorized to use the Service. We reserve the right to change these Terms at any time, so please review them frequently.
